About us

We sport over 20-year experience in managing technological companies and implementing IT solutions. We are familiar with problems our Clients may face. Our company can fight them quickly and efficiently with the use of rational and tailor–made solutions, which allow for improving carried out processes.

We focus on delivering real value supporting our Partners in faster and safer development, as well as spectacular transformations. We use solutions which meet strict selection requirements – every element is quick to implement, cost-effective and brings around a real return on investment. We operate reasonably, focusing on flexibility, deadlines and high quality.

How do we do it? There is no one solution. The key to success is a swift, successful and sometimes even unconventional and brave action – joining needs of the business and possibilities of technology in the light of law – connecting the dots.

We work for investors / owners / creditors having real influence on the operations of businesses, as well as for businesses which have a strong motivation for introducing changes. We concentrate on three groups of entities:

Start-ups

Fledgling companies which need support mainly in the area of business know-how, as well as legal matters. We support them in the area of structural directing their business in terms of maximising effectiveness of their business activity. We help them acquire investors and financing in consecutive tranches, at the same time servicing any end2end legal processes, which allow for minimizing investors’ risk. We implement successful management and implementation of IT processes key to achieve any business goals.

Stalled companies

Companies which, for some reasons, are facing hurdles in running their business activity both at the level of the whole company or capital group and single areas of their activity or carried out projects. We support such entities in their restructuring processes (both legal and business ones), as well as create and successfully implement remedial plans, support negotiation processes and supervise their execution.

Stagnant companies

Companies which run their businesses reaching positive financial results but, at the same time, don’t generate expected profits for investors. We offer such companies in-depth analysis of their business model, evaluation of their cost effectiveness in the context of gained profits, diagnosis of so-called “bottlenecks” hindering smooth development, implementation of remedial programmes and supervision of the processes. These elements go in pair with legal support allowing for optimal security of their interests in their current business activity as well as support and counselling in terms of relations with their clients and providers of services.

Together with our Partners we create fruitful and effective business strategies aiming at making our Partners achieve measurable business results. Our tailor-made solutions are based on deep knowledge and sector-specific experience and they are particularly focused on the defined company strategy, identification of its potential development capacities, constructing a financial model, planning actions aimed at the company’s growth and increasing its profitability, defining business and operational transformations based on cutting-edge technologies, implementing new operational models.

OPERATIONAL TRANSFORMATION

We help our Partners implement an appropriate strategy and achieve estimated business goals. Thanks to our sector knowledge and our experience we support companies in streamlining their basic activity and processes by maximising their operational effectiveness. We offer our Partners a wide scope of specialised competencies, as well as deliver real value by working out and supporting transformational programmes during their implementation. We manage transformational programmes in a strict and continuous way by adequately defining and delegating tasks oriented at reaching strategic goals and key operational actions, which allow achieving them. Thanks to monitoring the implementation of the transformational programmes in real time, we swiftly take proper decisions and implement remedial measures.

IT EFFICIENCY

We help our Partners in transformations, development and building effective IT. We operate on the levels of projects, teams and the whole IT departments in big enterprises, as well as work for technological companies. In our work we focus on connecting integrated areas of development, maintenance, architecture, infrastructure and safety into one efficient business organism working to achieve targeted business goals. In our work, we concentrate our attention on selecting and verifying competencies of the team, particularly when it comes to interpersonal relations while working with the Client. We implement strict and effective software production processes based on selection of appropriate agile software methodologies whilst, simultaneously, applying technologies allowing for automation and monitoring.

INVESTMENT MANAGEMENT

By working for investors / investment funds we manage their investments on their behalf. To do so, we apply many-year experience and multi-disciplinary knowledge of our team. We define and implement strategic and operational goals allowing to effectively and optimally achieve targeted investment parameters. On day-to-day basis we monitor effectiveness of the execution of agreed solutions, dynamically selecting appropriate actions and managing their implementation and legal risk. We help management boards by carrying out remedial programmes, which allow recovering from a potential crisis and focusing on making profits and increasing profitability.

SUPPORT FOR PROJECT MANAGEMENT

We are proud to have vast practical experience in the area of supporting IT suppliers and buyers in solving everyday legal problems while implementing IT projects both in terms of legal analysis, risk management, as well as change. We are of the opinion that an effective legal support facilitates successful contract renegotiation and strengthens our Client’s legal position in case of a legal dispute. In this scope of our activity we ensure formal and legal correctness of project decisions as well as their communication and we provide correct documentation of carried out works and verification of their compliance with the contract requirements.

MERGERS AND ACQUISITIONS

We have experience in transactions of mergers and acquisitions in terms of securing the interests of both the merged and merging companies. We provide complex services connected with such transactions including preparatory actions and post-transaction support (defining the plan and structure of the transaction, due diligence legal audits and transaction documentation). Legal solutions recommended by our company are based on business objectives of the transactions and allow achieving the Client’s goals effectively.

IT CONTRACTS

We sport several-year experience in cooperation with both providers and buyers from the IT sector. We prepare and negotiate implementation, maintenance and development contracts in the area of proprietary systems and systems dedicated for respective economic sectors (banking, insurance, retail), as well as CRM, WMS and ERP systems. Knowing and understanding risks and dangers connected with carrying out IT projects, we construct legal solutions, which allow curbing them successfully.

CORPORATE SERVICES

We offer our Partners complex corporate services in establishing, converting or liquidating companies as well as representing them in proceedings before the National Court Register. We provide professional support for companies’ governing bodies including preparation of required documentation (drafts of resolutions, bylaws, protocols, etc.). We also offer complex counselling in the area of Labour Code.

COPYRIGHT AND INTELECTUAL PROPERTY

We offer our Partners complex support in the area of intellectual property law focusing particularly on copyright and related rights. We have many-year experience in preparing and negotiating copyright contracts including both licences, as well as contracts of rights acquisition and managing rights of common.

an experienced manager sporting over 20-year experience gained while working in management boards of IT listed companies. He worked for Polish biggest banks, insurance, telecommunication, fuel and energy companies, central administration and ministries, as well as big retailers and e-commerce companies. He has deep knowledge in providing solutions for finance services sector, telecommunication, public service and administration. Mariusz is known for great experience and deep understanding of transformation and restructuring processes of big organizations, and notably for his ability to define and realize business strategies based on IT solutions. He has wide expertise and experience in developing business, sales and managing providers of IT services. He displays extraordinary skills while working on the line of business and IT teams focusing on creating a real value for Clients. Over the years, he’s obtained considerable results in projects’ implementation with emphasis on high effectiveness.

a legal advisor with 18-year experience in legal counselling for IT projects, running M&A transactions, complex corporate services of commercial law companies as well as obligations resulting from regulations regarding trading in financial instruments. She’s a member of the District Chamber of Legal Advisors in Warsaw. In her work she concentrates on providing her Clients with legal security, competitiveness and successful implementation of their business strategy. She spent many years on counselling for corporate bodies of commercial law companies performing the supervisory and managerial functions. She was responsible for legal aspects of preparation and carrying out the strategy of restructuring contractual obligations of one of the biggest companies in IT sector in Poland. She has experience in managing the implementation of IT projects. Kasia tailors her services to her Clients effectively joining legal knowledge with practical knowledge of both business and IT.
